This English version is a translation of the binding German Terms and Conditions (AGB) at mundwerkapp.de/terms.html. In case of any conflict between the German and English versions, the German version shall prevail. The contract is governed by German law.

Payments are processed by Lemon Squeezy (Lemon Squeezy, LLC, USA, or Paddle.com Market Ltd. as reseller), acting as Merchant of Record. Lemon Squeezy is responsible for collecting payment, calculating and remitting sales tax / VAT, and issuing invoices to the customer.

The Provider is a small business within the meaning of § 19 of the German VAT Act (UStG) and does not charge VAT on its own invoices. The VAT-inclusive prices shown at checkout are calculated and remitted by Lemon Squeezy.

2. Scope, Definition of Consumer / Trader

These Terms govern the purchase and use of Mundwerk for macOS, including any updates, downloads, and associated documentation. By purchasing, downloading, installing, or using Mundwerk, you agree to these Terms. If you do not agree, do not install or use the Software.

A Consumer within the meaning of § 13 of the German Civil Code (BGB) is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession. A Trader within the meaning of § 14 BGB is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their trade, business, or profession.

3. Conclusion of Contract and Availability of these Terms

The presentation of the Software on mundwerkapp.de does not constitute a binding offer but rather an invitation to submit an order (invitatio ad offerendum). By clicking the button labelled "Buy now" — which is the legally required payment-obligation button under § 312j BGB — in the Lemon Squeezy checkout, you submit a binding offer to enter into the contract. The contract is concluded upon acceptance by Lemon Squeezy, which occurs at the latest with the order confirmation and delivery of the license key by email.

Before placing the order, you have the opportunity to review these Terms and the Privacy Policy. You can access these Terms at any time at mundwerkapp.de/en/terms.html, print them, or save them locally as an HTML file. The order confirmation also contains a link to the Terms in force at the time of purchase. The contract language is German; this English version is provided for convenience.

4. The Software

Mundwerk is a local macOS dictation application and qualifies as a contract for the supply of digital products within the meaning of §§ 327 et seq. BGB. Audio is processed entirely on the user's device; no audio or transcript data is transmitted to any server operated by the Provider. The Software runs on Apple Silicon Macs with macOS 26.0 or later.

Upon full payment, the Provider grants you a non-exclusive, non-transferable, perpetual license to install and use Mundwerk under the following conditions:

A fully functional trial is available for seven (7) days from first launch. No account or payment information is required to start the trial. After the trial period, a valid license key is required to continue using Mundwerk's dictation features.

7. Pricing and Payment

Current prices are displayed on the checkout page operated by Lemon Squeezy. All prices are stated in Euro (EUR) and — for consumers — include any applicable statutory VAT. For business customers, VAT may be shown separately on the invoice.

Accepted payment methods are determined by Lemon Squeezy and typically include credit card, PayPal, Apple Pay, and SEPA direct debit. The license key is issued by email once payment has been confirmed.

Promotional prices (e.g. launch discounts) are valid only during the promotional period indicated at the time of purchase and cannot be applied retroactively.

8. Right of Withdrawal (EU Consumers)

If you are a consumer resident in the European Union, you have the right to withdraw from the purchase within fourteen (14) days of receiving the license key, without giving any reason.

To exercise the right of withdrawal, please contact us at the email address listed in the Impressum, or contact Lemon Squeezy support directly. A clear statement of withdrawal (for example by email) is sufficient.

Consequences of withdrawal: We will reimburse all payments received from you without undue delay, and in any event not later than 14 days from the day on which we are informed about your decision to withdraw. Reimbursement will be made using the same means of payment as used for the initial transaction. Upon withdrawal, your license key will be deactivated.

Note on digital content: By requesting the license key before the end of the withdrawal period, you expressly consent to immediate delivery; the right of withdrawal remains available as stated above unless you have explicitly waived it at checkout.

9. Updates and Support

Minor and bug-fix updates to the current major version are included with your license at no additional cost. Future major versions may be offered as a paid upgrade. Support is provided by email as described on the Support page. We do not guarantee any specific response time.

10. Data Protection and Privacy

Audio capture, voice activity detection, and transcription all happen locally on the user's Mac. No audio, transcripts, or usage content is transmitted to the Provider. Limited technical data (such as anonymous activation requests and error reports the user chooses to submit) may be processed as described in our Privacy Policy. License activation data (license key, anonymous machine identifier, activation timestamp) is processed by Lemon Squeezy as payment processor and by the license-verification endpoint.

11. Warranty

Statutory warranty rights apply. The Provider warrants that Mundwerk will substantially conform to its published description at the time of purchase. The Provider does not warrant that the Software will be error-free or that it will operate uninterrupted, nor that it will meet every specific requirement of the user.

12. Limitation of Liability

The Provider shall be liable without limitation for damages caused by intent or gross negligence, for damages resulting from injury to life, body, or health, and under the German Product Liability Act (ProdHaftG).

For slight negligence, liability is limited to breaches of material contractual obligations (cardinal duties), and in such cases limited to the foreseeable damages typical for this type of contract. Any further liability — in particular for indirect, incidental, or consequential damages, lost profits, or lost data beyond what can be recovered through routine backup measures — is excluded.

The user is responsible for maintaining adequate backups of any data produced with or processed by the Software.

13. Intellectual Property

Mundwerk, including its source code, design, branding, and documentation, is the intellectual property of Björn Kindler. Third-party open-source components are used in accordance with their respective licenses; attributions are available from within the application's About screen.

14. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes in our product, legal requirements, or payment processing. The version in force at the time of your purchase will continue to apply to that purchase. Material changes will be announced on this page with an updated “Last updated” date.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, mandatory consumer-protection provisions of the country of their habitual residence remain unaffected.

If the user is a merchant, legal entity under public law, or special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Munich, Germany.

16. Online Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR) at https://ec.europa.eu/consumers/odr. We are not obligated and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

17. Severability

If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic intent of the original provision.
